Registered investors will be offered ‘partnership shares’ rather than ‘limited company shares’. Investors owning partnership shares will be limited partners in the partnership.

Rather than launching a new partnership for each investment offer, there will be one overall partnership with different classes of limited partners corresponding to each individual offer. Operating a single partnership will reduce regulatory and other administrative costs.

Investors will be offered partnership shares in a different limited partnership class for each offer and the returns from the corresponding case (or cases) will be attributable to that partnership class.

The investment process will be similar to that for previous offers (with some modifications reflecting that the investment will be in partnership shares rather than limited company shares). Partnership shares will be eligible for sale on the secondary market.
